Public Financial Holdings Limited has received an order from the Supreme Court of Bermuda dated 23 October 2026 directing the company to convene a Court Meeting of its Scheme Shareholders on 23 November 2026 at 10:00 a.m. (HKT) in the Harbour Room, Mezzanine Floor, Kowloon Shangri-La Hotel, Hong Kong.

The single agenda item is to consider and, if appropriate, approve—with or without modifications—a proposed scheme of arrangement between the company and its Scheme Shareholders. The Scheme and an explanatory statement are contained in the composite scheme document now available from Tricor Investor Services Limited, 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong.

Voting mechanics • Shareholders may vote in person or by appointing a proxy using the enclosed pink proxy form. • Completed proxy forms should reach Tricor Investor Services by 10:00 a.m. on 21 November 2026, or be delivered to the meeting chairman before the poll is taken. • Voting will be conducted by poll.

Share registration details • The register of members will be closed from 18 November to 23 November 2026 (both days inclusive). • Transfers to qualify for voting rights must be lodged with Tricor Investor Services by 4:30 p.m. on 17 November 2026.

Governance and next steps The Court has appointed Independent Non-Executive Director Ms. Phe Kheng Peng, or another independent and disinterested person present, to chair the meeting and report its outcome to the Court. Implementation of the Scheme remains subject to subsequent Court approval.

The Board currently comprises three Non-Executive Directors (Mr. Lai Wan, Mr. Quah Poh Keat, Mr. Lee Huat Oon), one Executive Director (Mr. Chong Yam Kiang) and three Independent Non-Executive Directors (Mr. Lee Chin Guan, Mr. Lim Chao Li, Ms. Phe Kheng Peng).
