哈尔滨银行股份有限公司(06138)7月16日公告称，公司近日收到《国家金融监督管理总局黑龙江监管局关于杜晓权哈尔滨银行股份有限公司董事任职资格的批复》（黑金监复[2026]86号），核准杜晓权先生的董事任职资格。
自2026年7月14日起，杜晓权先生正式出任公司第九届董事会非执行董事，任期至本届董事会届满之日。同日起，第九届董事会非执行董事张宪军先生不再履行董事及提名及薪酬考核委员会委员职务。
董事会进一步决议，自2026年7月14日起，杜晓权先生担任提名及薪酬考核委员会委员，任期亦至本届董事会届满。
公司重申，张宪军先生已确认其与董事会无任何分歧，且就其辞任无须提请股东、债权人及香港联合交易所有限公司关注的其他事项。董事会对张宪军先生在任职期间所作贡献表示感谢。
截至本公告日，哈尔滨银行董事会成员包括：执行董事邓新权先生、姚春和先生；非执行董事杜晓权先生、贾海宁先生、刘培伟先生、程帅先生；以及独立非执行董事靳庆鲁先生、陈明先生、梁秀芬女士。
哈尔滨银行同时提示，其并非根据香港《银行业条例》(第155章)认可的机构，不受香港金融管理局监管，且无权在香港经营银行及存款业务。
