Natural Food International: Controlling Shareholder Lifts Stake to 42.76% After HK$3.82 Million On-Market Purchase

Natural Food International Holding Limited (Natural Food IH, 01837) announced that controlling shareholder Natural Capital increased its equity position by 2.26 million shares between 3 July and 23 July 2026. The shares were acquired on the open market at an average price of HK$1.6878, implying a cash outlay of approximately HK$3.82 million.

Prior to the transactions, Natural Capital—wholly owned by the trustee of the Paddy Aroma Trust established by founder and CEO Mr. Zhang Zejun—held 933.50 million shares, or 42.65% of the company. Post-purchase, its holding stands at 935.76 million shares, raising its stake to 42.76% of Natural Food’s total issued share capital.

The company confirmed continued compliance with the Hong Kong Listing Rules’ minimum public-float requirement. Natural Capital indicated that the additional purchases signal confidence in the Group’s long-term prospects and that further increases may be considered subject to market conditions and regulatory compliance.
