Xtep International Holdings Limited reported no change in its issued share capital for August 2026, closing the month with 2.82 billion ordinary shares outstanding and no treasury shares. Authorised share capital remained at 100.00 billion shares with a par value of HKD 0.01, equivalent to HKD 1.00 billion.
Public-float compliance was confirmed, with the free-float ratio meeting the Main Board’s minimum 25% threshold.
Convertible instruments represent the only source of prospective dilution:
• HKD 544.53 million in convertible bonds issued on 9 September 2021 are still outstanding, carrying a conversion price of HKD 7.7882 and convertible into up to 69.92 million shares. • HKD 531.44 million in bonds issued on 1 November 2024—including HKD 4.61 million of interest capitalised this quarter—are convertible at HKD 5.1332 into 103.53 million shares. • HKD 500.00 million in bonds issued on 6 February 2026 can be converted at HKD 6.25 into 80.00 million shares.
Cumulatively, these three tranches could add up to 253.45 million new shares, implying a potential dilution of about 9.0% relative to the current share count if fully converted.
No share options, warrants, other equity-linked instruments or treasury-share movements were recorded during the month.
