Spectral Capital Corp. (FCCN.US), a provider of international voice and SMS services for telecom operators, disclosed its IPO terms on Wednesday.
The company plans to issue 3.3 million shares at $4.50 each, aiming to raise $15 million. At the proposed offering price, Spectral Capital's fully diluted market capitalization would reach $465 million.
Spectral has continued operations as an active entity; however, for most of its history, the business was relatively small, primarily focusing on research and development, software trials, and intellectual property creation.
Through a series of acquisitions completed in 2025, the company now operates a telecom and messaging infrastructure business, generating recurring revenue from established commercial services.
Spectral Capital was founded in 2000 and plans to list on the Nasdaq under the ticker FCCN. Sentinel Brokers is serving as the sole bookrunner for the transaction.
