OneConnect Financial Technology Co., Ltd. (Stock Code: 6638, NYSE Ticker: OCFT) and Bo Yu Limited have jointly announced that, on October 28, 2025, the proposed scheme of arrangement to privatize OneConnect was approved by the requisite disinterested shareholders at the Court Meeting. The related resolutions to reduce and restore OneConnect’s share capital, enabling the issuance of new shares to Bo Yu Limited upon cancellation of the existing scheme shares, were also passed at the Extraordinary General Meeting on the same date.
According to the announcement, the scheme’s effectiveness remains subject to remaining conditions, but the parties expect it to become binding on November 19, 2025 (Cayman Islands time). OneConnect’s register of members will close on November 18, 2025, to determine those entitled to receive the cancellation price. Shareholders seeking to qualify for the scheme’s cash payment must ensure share transfers are lodged before 4:30 p.m. on November 17, 2025.
The last day for trading OneConnect shares on the Hong Kong Stock Exchange is anticipated to be October 30, 2025, with the withdrawal of the listing expected at 4:00 p.m. on November 21, 2025. On the New York Stock Exchange, the permanent suspension of OneConnect’s American Depositary Shares (ADSs) is planned for November 21, 2025 (New York time), followed by an expected delisting on December 1, 2025 (New York time). Prominent shareholders, including M&G and SVF, confirmed in non-binding letters of support that they voted in favor of the privatization proposal.
The company’s announcement outlines the timetable for completing the scheme and the resulting delisting procedures. Shareholders and ADS holders are advised to review the official documentation, as final implementation is subject to satisfaction or waiver of remaining conditions. The announcement confirms no additional steps are required from dissenting shareholders, whose shares will be canceled if the scheme becomes effective, with the company ceasing to be listed on both the Hong Kong Stock Exchange and the NYSE. Further updates will be provided if any changes to the expected timeline occur.
