Central China Securities Schedules 30 Jun 2026 AGM with Votes on 2025 Results, Profit Distribution and Connected-Transaction Caps

Central China Securities Co., Ltd. will convene its Annual General Meeting at 09:00 on 30 June 2026 in Zhengzhou, Henan Province. Shareholders will consider 13 resolutions covering operating results, profit allocation and governance matters for the fiscal year ended 2025, as well as key authorisations for 2026.

Key agenda items

1. 2025 performance review • Board Work Report, Independent Directors’ Report, Annual Report and Final Financial Account Report for 2025 will be tabled for approval. • A profit-distribution plan for 2025 and an authorisation for interim distributions during 2026 will be voted on.

2. External oversight and remuneration • Re-appointment of the external auditing firm for the 2026 financial year. • Separate resolutions will confirm assessment and remuneration statements for directors and supervisors for 2025.

3. Business operations in 2026 • Determination of the business scale and risk limits for proprietary trading next year. • A special resolution seeks amendments to the Articles of Association.

4. Connected transactions • Adjustment of annual caps for daily related and continuing connected transactions with Henan Investment Group. • Addition of daily related transactions with Zhongyuan Bank.

5. Board composition and compensation policies • Nomination of candidates for directors to the seventh Board session. • Adoption of revised Measures for the Administration of Total Wages.

Shareholder logistics

• H-share register closure: 25–30 June 2026 (both days inclusive). Holders on record by 25 June 2026 are eligible to vote. • Last day to lodge share transfers: 24 June 2026, 16:30, with Computershare Hong Kong Investor Services. • Proxy forms must be submitted at least 24 hours before the meeting. • The on-site meeting will be held at the Company’s head office: 17th Floor, Zhongyuan Guangfa Finance Building, No. 10 Business Outer Ring Road, Zhengdong New District, Zhengzhou.

As of the notice date (9 June 2026), the Board comprises six executive or non-independent directors and five independent non-executive directors. The meeting will be chaired by Board Chairlady Zhang Qiuyun.
