上海昊海生物科技股份有限公司（06826）11月2日公告，公司董事会审议通过议案，同意在不影响募投项目实施的前提下，使用不超过人民币20,000万元（含本数）的暂时闲置募集资金进行现金管理，期限自董事会审议通过之日起12个月内有效，资金可在额度内循环滚动使用。
本次现金管理资金来源为公司2019年首次公开发行股票暂时闲置的募集资金。该次募集资金总额为人民币15.88亿元，扣除发行费用后净额为人民币15.29亿元，已全部存放于募集资金专项账户。
根据公告，公司拟投资的产品须具备“安全性高、流动性好、保本”特征，产品期限不超过12个月，品种包括但不限于协定存款、通知存款、定期存款、大额存单及收益凭证等。董事会授权管理层在额度及期限内行使投资决策权，具体执行由财务部负责。
公司最近12个月（2025年11月7日至2026年11月2日）已在30,000万元授权额度内开展现金管理：累计投入本金108,700万元，已全部收回本金，取得收益419.26万元；期间单日最高投入金额为26,000万元，未超过授权上限。
瑞银证券有限责任公司作为保荐机构出具核查意见，确认公司本次使用暂时闲置募集资金进行现金管理已履行必要程序，符合相关法规及公司《募集资金管理制度》，不存在变相改变募集资金用途的情形。
公司表示，通过对暂时闲置募集资金进行现金管理，可在确保募投项目资金需求和资金安全的前提下提高资金使用效率，为公司及股东获取额外收益。
