倍升教育科技(08269)公告称，拟在即将召开的股东周年大会上提呈决议案，授权董事以不超过决议案当日已发行股份总数（不包括库存股份）的10%进行股份购回。据公告披露，公司于最后实际可行日期的已发行股份总数约为890,722,800股，若该授权获得通过，董事会将有权在合适时机及符合法律和GEM上市规则的情况下，回购最多达89,072,280股股份。
公司指出，资金将主要来自可分派溢利或发行新股所得款，符合开曼群岛相关法规及香港联交所GEM上市规则。董事会认为，适时进行回购可在提升每股资产净值及每股收益的同时，优化公司资本结构，整体上符合公司及全体股东的利益。公告显示，公司认为授出购回授权能够有效增强灵活性与机动性，进一步保障投资者利益。
据公告，股东周年大会定于2026年9月25日（星期五）上午11时在香港皇后大道中99号中环中心12楼2室举行。公司股东可于2026年9月22日至9月25日（含首尾两日）办理登记，持股股东应注意相关时间安排并按期办理手续。董事会同时建议重选多名董事并重新委任会计师，所有议案将以投票表决方式审议。公司称，如获得股东及监管层的同意将尽快推进相关回购事宜。
