Oshidori International Holdings (622) and Planetree (613) Announce HK$375.6 Million Share Swap Agreement

Oshidori International Holdings Limited (stock code: 622) and Planetree International Development Limited (stock code: 613) have agreed to a share swap arrangement, each subscribing for shares in the other at a total consideration of HK$375.6 million. According to the agreement, Oshidori will acquire 189,105,535 Planetree shares at HK$1.986 per share, while Planetree will receive 760,250,187 Oshidori shares at HK$0.494 per share. Both transactions are expected to complete simultaneously, subject to regulatory approvals and other conditions.

Upon completion, Oshidori’s stake in Planetree is expected to rise to approximately 17.56% of Planetree’s enlarged share capital, and Planetree’s stake in Oshidori is set to reach approximately 15.54% of Oshidori’s enlarged share capital. Both parties have also agreed to an 18-month lock-up period, barring disposals of the newly issued shares without prior consent.

Alongside this transaction, the parties have signed a Strategic Cooperation Agreement, which focuses on capital cooperation—potentially including joint ventures and strategic investments—and operational collaboration, such as expanded participation in each other’s financial services and a client referral program. The proposed share swap remains subject to conditions and may not proceed if certain requirements are not met. Shareholders and investors are advised to exercise caution when dealing in the companies’ shares.
