Sunshine Oilsands Ltd. (HKEX: 2012) disclosed on 30 October 2026 that the circular for its proposed subscription of convertible bonds under a specific mandate will now be dispatched on or before 30 November 2026, extending the timetable by up to one month.
The latest postponement follows a series of prior deferments announced on 6 January, 30 January, 27 February, 20 March, 30 April, 29 May, 31 July and 31 August 2026, as well as earlier notices on 13 February 2026 and 31 August 2026 concerning extensions to the closing date of the bond issue. The company’s initial timetable, set out in its 16 November 2025 announcement, had targeted circulation by 30 October 2026.
Management attributed the new delay to the need for additional time to compile and incorporate information required in the circular, which will include: 1) full details of the convertible bond subscription and related specific mandate; 2) recommendations from the Independent Board Committee; 3) an advisory letter from the Independent Financial Adviser; and 4) the notice convening the forthcoming Special General Meeting.
Completion of the proposed convertible bond transaction remains conditional upon the satisfaction of stipulated precedent conditions, and the board cautioned that the transaction may or may not proceed. Shareholders and potential investors are urged to exercise prudence when dealing in the company’s shares.
