Aug 31

Sunshine Oilsands Ltd. has signed a second supplemental agreement with its subscriber on 31 August 2026 to push back the closing date for its previously announced convertible-bond financing. The new deadline for completing the subscription and issuance of the bonds has been moved from 31 August 2026 to 28 February 2027, or a later date subject to mutual consent.

The extension was required to allow additional time to satisfy outstanding conditions precedent specified in the original Subscription Agreement. All other commercial terms and conditions of the transaction remain unchanged.

The proposed convertible bonds—authorised under a specific mandate—are intended for the settlement of existing debts. The transaction was first unveiled on 16 November 2025 and has since been updated through multiple announcements dated 6 January, 30 January, 13 February, 27 February, 20 March, 30 April, 29 May and 31 July 2026.

As at the date of the latest announcement, Sunshine Oilsands’ board comprises two executive directors (Executive Chairman Kwok Ping Sun and Gloria Pui Yun Ho), two non-executive directors (Michael John Hibberd and Xijuan Jiang) and three independent non-executive directors (Yi He, Guangzhong Xing and Jue Pang).

The company confirmed that no other modifications have been made to the Subscription Agreement beyond the revised timetable.
