Effective 17 July 2026, EPI (Holdings) Limited confirmed two key governance changes. Independent Non-executive Director (INED) Jiao Jie has resigned to focus on other business commitments, simultaneously relinquishing her roles as Chairlady of the Remuneration Committee and member of both the Audit and Nomination Committees.
Concurrently, Ji Wenting assumes the vacated INED position and is appointed Chairlady of the Remuneration Committee as well as a member of the Audit and Nomination Committees.
Ji Wenting, aged 51, holds bachelor’s and master’s degrees in economics from Nankai University and is a member of both The Chinese Institute of Certified Public Accountants and the Association of Chartered Certified Accountants. Her professional background includes chief financial officer roles at U.S.-listed Cheche Group (NASDAQ: CCG), Xiaoyezi Music Technology Group, and Quhuo Limited (NASDAQ: QH), where she also served as a director. Additional experience spans senior finance positions at Delsk Group, Yoyi Digital, and SouFun Holdings (now Fang Holdings). She has served as an independent non-executive director at QingSong Health Corporation (HKEX: 2661) since 17 April 2026.
Under a renewable 12-month letter of appointment, Ji Wenting will receive an annual director’s fee of HK$0.18 million, subject to yearly review by the Remuneration Committee and the Board. She holds no shares in EPI (Holdings) and has confirmed compliance with all independence criteria under Listing Rules 3.13(1)–(8).
Following the changes, the EPI (Holdings) Board comprises three Executive Directors—Chan Shui Yuen, Bai Zhifeng and Wang Jinglu—and three INEDs—Pun Chi Ping, Khoo Wun Fat, William, and Ji Wenting.
