China Resources Pharmaceutical Group Limited (CHINARES PHARMA) disclosed that its indirect non-wholly owned subsidiary, China Resources Double-Crane Pharmaceutical Co., Ltd. (CR Double-Crane), has secured first place in a public bidding process to acquire 188.10 million shares of Lier Chemical Co., Ltd., equal to approximately 23.50% of the Shenzhen-listed agrochemical producer’s equity.

The shares are being divested by Sichuan Jiuyuan Investment Holdings Group Co., Ltd. and Sichuan Huacai Technology Co., Ltd. The bidding outcome positions CR Double-Crane to become a significant shareholder in Lier Chemical, which specializes in the R&D, production and sale of high-efficiency, low-toxicity, low-residue pesticide active ingredients and formulations.

Since 2022, CHINARES PHARMA has been expanding in synthetic biology through CR Double-Crane, establishing seven technology platforms that target four verticals: pharmaceutical intermediates, novel health food ingredients, crop and animal protection, and new materials and energy. Management views the prospective investment in Lier Chemical as aligned with its strategy to accelerate commercialisation within these areas.

No definitive agreements have been signed, and completion of the transaction remains contingent on final documentation and customary conditions. The company will comply with Chapter 14 of the Hong Kong Listing Rules once transaction agreements are executed. Investors are urged to exercise caution, as the acquisition may or may not proceed.
