嘉利国际控股有限公司（股票代码：01050）宣布，公司即将于2026年8月28日召开股东周年大会，审议并授权董事会在一定期间内根据香港联合交易所有限公司上市规则及百慕达相关法律进行股份购回。回购规模上限相当于公司于决议案获股东通过当日已发行股份（不含库存股份）总数的10%，最高可达约2.09亿股（公司目前已发行股份总数约为20.88亿股）。
公司指出，股份购回将根据百慕达法律及公司细则进行，可使用公司可合法动用的资金，如可供分派的溢利或股份溢价账等。公司表示，回购旨在提升股东价值及调节资本结构，董事会认为，此举符合公司和股东的整体利益，具体实施将依据市场状况及资金情况灵活进行。
公告显示，过去12个月内，嘉利国际股价在联交所的最高盘中价为每股港币3.51元（2026年6月），最低盘中价为每股港币0.85元（2025年7月）。公司重申，任何股份回购将在评估市况后酌情实施。股东周年大会定于2026年8月28日中午12时在广东省东莞市举行，2026年8月21日下午4时30分前办理股份转让可登记并获得出席会议及投票资格，而自2026年8月24日至8月28日将暂停办理股份过户。
