Guoen Holdings Limited announced the preliminary outcome of its four-for-one rights issue dated 26 August 2026. As of the 9 September 2026 acceptance deadline, shareholders submitted eight valid applications covering 42.53 million rights shares, equivalent to 35.43% of the 120.03 million shares offered.

The rights issue remains undersubscribed by 77.50 million shares, or 64.57% of the offer. No excluded shareholders were recorded on the relevant record date; therefore, all unsubscribed shares fall under the compensatory placing arrangements outlined in Rule 10.31(1)(b) of the GEM Listing Rules.

Under a placing agreement signed on 10 July 2026, an independent placing agent will seek to place the 77.50 million unsubscribed shares with independent investors on a best-effort basis through to 18 September 2026. Any subscription price premium achieved above the offer price will be distributed to shareholders who did not fully exercise their rights, pro-rated to their unaccepted entitlements. Individual net gains below HK$100 will be retained by the company.

Should any shares remain unplaced after the closing of the placing period, those shares will not be issued and the size of the rights issue will be reduced accordingly. Guoen Holdings plans to publish the final results of the rights issue—including the placing outcome and any net gain distribution—on 25 September 2026 via the Stock Exchange and company websites.
