Beijing Energy International Holding Co., Ltd. (BJ ENERGY INTL, HKEX: 00686) has issued a notice to convene a Special General Meeting (SGM) on 16 October 2026 at 11:00 a.m. Primary venue will be Unit 1012, 10/F, West Tower, Shun Tak Centre, 168–200 Connaught Road Central, Hong Kong, with a branch venue at 16/F, Building B, Youtang International Centre, No. 7 Sanfeng North Lane, Chaoyang District, Beijing.
Key agenda: shareholders will vote on an ordinary resolution to approve (i) the proposed disposal of assets described in the company’s circular dated 29 September 2026 (the “Disposal”), and (ii) the associated Trust Contract that governs the transaction. Subject to satisfaction of pre-set conditions, both the Disposal and the Trust Contract would become effective immediately upon shareholder approval. The resolution also authorises any one director to execute all necessary documents to implement the transaction.
Shareholders’ register will be closed from 13 October 2026 to 16 October 2026 (both days inclusive) to determine eligibility to attend and vote. Share transfers must be lodged with Computershare Hong Kong Investor Services Limited by 4:30 p.m. on 12 October 2026.
Voting will be conducted by poll. Shareholders may appoint proxies, with proxy forms and related authorities required to be submitted to Computershare no later than 48 hours before the meeting.
The board currently consists of one executive director, seven non-executive directors, and four independent non-executive directors.
Contingency arrangements: If a Typhoon Signal No. 8 or higher, a black rainstorm warning or extreme conditions caused by super typhoons are in force after 8:00 a.m. on the meeting day, the SGM will be postponed, with details to be announced on the company’s and HKEX’s websites.
