Tencent Holdings Limited (Tencent) has filed a Next Day Disclosure Return with the Hong Kong Stock Exchange, detailing a negligible increase in issued shares alongside continued execution of its share-repurchase programme.
On 31 August 2026, Tencent allotted 3,663 new ordinary shares upon the exercise of employee options granted under the 2023 Share Option Scheme. The new shares were issued at a volume-weighted average price of HKD 291.32 each, enlarging the company’s outstanding share capital by just 0.00004 % to 9.10 billion shares.
Concurrently, Tencent intensified its on-market share buybacks. Between 17 and 31 August 2026 the company repurchased 6.94 million shares for cancellation, equal to approximately 0.08 % of the latest issued share base. Purchase prices ranged from HKD 440.48 to HKD 456.00 per share. The final trading day in the period, 31 August, accounted for 223,000 shares bought back at an aggregate consideration of HKD 100.55 million.
Under the general mandate approved on 13 May 2026, Tencent is authorised to repurchase up to 911.80 million shares. Cumulative repurchases under this mandate have now reached 43.01 million shares, or 0.47 % of the shares in issue on the mandate date, leaving capacity to repurchase a further 868.78 million shares.
Following the August transactions, Tencent’s total issued share capital stands at 9,103,150,424 ordinary shares, with all newly issued shares ranking pari passu with existing shares. A 30-day moratorium on new share issues remains in effect until 30 September 2026, in line with Hong Kong listing rules triggered by the latest buyback activity.
