紫金矿业集团股份有限公司（02899）11月6日公告称，公司2026年员工持股计划第一次持有人会议已于2026年11月4日以通讯表决方式召开。与会持有人合计代表1,353,707,008份表决权（对应72,936,800股），占本次员工持股计划份额总数的100%。会议表决程序符合相关法规及公司制度要求。 \n\n会议审议并以100%同意票通过以下三项议案：\n1. 设立由9名委员组成的“2026年员工持股计划管理委员会”，任期与员工持股计划存续期一致；\n2. 选举高文龙、邓干彬、杜呈祥、谢丰宇、蓝建明、刘志洲、郑荣飞、刘志鹏、邓巧英为管理委员会委员。随后召开的第一次委员会会议推选高文龙为主任，邓干彬、杜呈祥、谢丰宇为副主任；\n3. 授权管理委员会在员工持股计划存续期内负责召集持有人会议、行使所持股份股东权利、办理份额管理及减持等相关事宜。 \n\n本次授权自审议通过之日起生效，至员工持股计划终止之日止。
