XPENG-W Issues 1.64 Million Class A Shares in June to Satisfy RSU Vesting; Public Float Remains Intact

For the month ended 30 June 2026, XPeng Inc. (XPENG-W) expanded its outstanding Class A share count by 1.64 million to 1.57 billion. The increase, equal to 0.10% of Class A shares, was driven entirely by share issuances to cover employee Restricted Share Unit (RSU) vesting under the 2019 Equity Incentive Plan and the 2025 Share Incentive Scheme.

Authorised capital stayed unchanged at 9.25 billion Class A shares and 0.75 billion Class B shares, both with a par value of USD 0.00001, leaving total authorised capital at USD 0.10 million.

Class B share capital remained flat at 348.71 million shares, with no treasury stock held in either class. XPeng confirmed compliance with the Hong Kong Main Board’s minimum 25% public-float requirement.

Key RSU settlements during June: • 735,636 shares for July 2024 grants • 190,292 shares for July 2023 grants • 178,428 shares for July 2025 grants • 16 additional tranche-linked issuances totalling 537,944 shares across grants dating from April 2022 to April 2026

No share repurchases, cancellations, warrant exercises, or convertible issuances occurred during the period.

The company maintains 54.80 million unvested RSUs that may convert into Class A shares in future periods, comprising allocations from both the 2019 and 2025 schemes.
