Stelux Holdings International Limited plans to seek shareholder approval at its upcoming annual general meeting (AGM) for the re-appointment of Messrs. RSM Hong Kong as auditor of the Group for the financial year ending 31 March 2027.
The Board disclosed that RSM Hong Kong, which will retire and offer itself for re-appointment at the AGM, received an audit fee of HK$2.28 million for the year ended 31 March 2026. The preliminarily agreed fee for the next audit is expected to range between HK$2.16 million and HK$2.39 million, excluding disbursements, reflecting “no material change” in the Group’s operational scale, reporting requirements or audit scope.
Fee negotiations considered historical charges, prevailing market rates, business complexity, audit scope and timetable, as well as the resources required. The Board believes the proposed remuneration is fair and reasonable and that RSM Hong Kong’s continuity will support audit efficiency.
All other information in the original AGM circular dated 10 July 2026 remains unchanged. The AGM will vote on the ordinary resolution authorising the Board to fix the auditor’s remuneration.
