Daido Group Expands Issued Share Base by 73.08 Million in August 2026

Sep 02

Daido Group Limited reported a material expansion of its share capital for the month ended 31 August 2026, driven by new share subscriptions and the partial conversion of convertible bonds.

The company’s authorised share capital remained unchanged at 6.00 billion ordinary shares with a par value of HKD 0.10, representing HKD 600.00 million in authorised capital.

Issued share movements were significant: • Total issued shares (excluding treasury shares) climbed to 123.69 million, up 73.08 million from July’s 50.62 million. • The uplift stemmed from two transactions: 1) Placement of 10.00 million new shares on 10 August 2026 under a general mandate authorised on 30 June 2026. 2) Conversion of HKD 30.28 million worth of unlisted convertible bonds into 63.08 million shares at HKD 0.4801 per share on 26 August 2026. Post-conversion, HKD 14.72 million of the bonds remain outstanding.

Daido confirmed compliance with the Main Board’s minimum 25% public-float requirement as at 31 August 2026.

Equity incentive instruments were unchanged during the month. A total of 3.48 million share options remain outstanding across three tranches granted in 2021, 2022 and 2025, all unexercised as at month-end. No warrants are outstanding, and the company holds no treasury shares.

Following August’s activities, Daido Group’s issued share capital totals 123.69 million ordinary shares, while authorised capacity remains ample at 6.00 billion shares, leaving significant headroom for future equity-linked financing if required.
