Wai Chun Biotec (the “Company”) has warned shareholders that it will not be able to publish its audited results for the financial year ended 30 June 2026 by the statutory deadline of 30 September 2026. The delay arises because additional time is required for both the Company and its external auditor to complete the audit procedures.

Under Rule 13.49(1) of the Hong Kong Listing Rules, issuers must release annual results within three months of the fiscal year-end. Given the anticipated shortfall, the Company falls outside this timeframe. Rule 13.49(3) permits an announcement of unaudited management accounts if the audited figures are unavailable; however, the Board believes such disclosure could mislead investors because the numbers have not been agreed with the auditor.

Failure to publish the audited or unaudited results may trigger a trading halt. In accordance with Rule 13.50, the Hong Kong Stock Exchange typically suspends trading in an issuer’s securities until the requisite financial information is released. Wai Chun Biotec stated it will issue further announcements on both the revised results timetable and any trading suspension developments.

Management affirmed that the Group’s operations remain normal and unaffected by the audit delay. The Board currently comprises one executive director—Mr. Lam Ka Chun, who also serves as Chairman and Chief Executive Officer—and three independent non-executive directors, Mr. Wong Po Keung, Ms. Xu Huiling and Mr. Wang Ziniu.
