Grand Field GP Maintains Stable Share Base in August; HK$78.97 Million Convertible Bonds Remain Outstanding

Grand Field Group Holdings Limited (Grand Field GP) filed its Monthly Return for Equity Issuers for the period ended 31 August 2026, confirming a static share structure and continued compliance with Hong Kong’s public-float requirements.

Authorised and Issued Share Capital • Authorised share capital closed the month unchanged at 2.50 billion ordinary shares with a par value of HKD 0.20, equivalent to HKD 500.00 million. • Issued share capital also remained steady at 20.71 million ordinary shares, with no treasury shares held or cancelled during the month. • The company affirmed that it met the Main Board’s minimum 25% public-float threshold as at 31 August 2026.

Convertible Instruments • A single outstanding convertible bond with an original principal of HKD 100.97 million, issued on 6 May 2024 and maturing in 36 months, stood at HKD 78.97 million at month-end. • The instrument carries a conversion price of HKD 2.60 per share and, if fully converted, could result in the issuance of up to 30.37 million new ordinary shares—representing roughly 147% of the current issued share base. • No conversions or transfers occurred in August.

Corporate Governance Confirmation The filing, signed by Executive Director Ms. Kwok Siu Wa Alison on 3 September 2026, attests that all statutory, regulatory and listing-rule requirements related to the company’s issued securities continue to be met.

Implications With no changes to authorised or issued capital in August and full compliance with public-float rules, Grand Field GP’s equity structure remains stable. The outstanding convertible bond, however, signifies a potential dilution event should all HK$78.97 million be converted at the HKD 2.60 exercise price, a factor for investors to monitor ahead of the bond’s May 2027 maturity.
