BJ SPORTS & ENT Plans 10-for-1 Share Consolidation, Board Lot to Shift from 2,500 to 5,000 Shares

BJ SPORTS & ENT has released a circular detailing two capital market measures aimed at improving share trading efficiency: a 10-to-1 share consolidation and a change in board lot size.

Key proposals 1. Share consolidation • Basis: Every 10 issued and unissued shares of HK$0.005 par value will be consolidated into 1 share of HK$0.05 par value. • Share capital: Authorised capital remains HK$20.00 million; the number of authorised shares will decrease from 4.00 billion to 400.00 million. • Issued shares: Outstanding shares will contract from 1.69 billion to 168.96 million, with issued share capital unchanged at HK$8.45 million. • No outstanding options, warrants or convertible instruments will be affected; the option scheme mandate will adjust proportionally to 14.08 million options post-consolidation. • Fractional entitlements will be aggregated and sold for the Company’s benefit.

2. Board lot size adjustment • Conditional on the consolidation’s effectiveness, the standard trading unit will double from 2,500 existing shares to 5,000 consolidated shares. • At the latest closing price of HK$0.074 per existing share, the theoretical price post-consolidation is HK$0.74, implying a board lot value of about HK$3,700 versus HK$185 currently. • The move aligns the company’s lot size with the Hong Kong Exchanges and Clearing Limited (HKEX) guideline that recommends board lot values above HK$1,000 and restricts lot units to specified sizes.

Management rationale The Board cites persistently low share prices—below HK$0.10 since 21 January 2026 (except one trading day)—as the primary driver. The consolidation and larger lot size are intended to lift the traded price away from the HK$0.01 extremity threshold stipulated under Listing Rule 13.64 and to reduce transaction costs relative to deal size.

Implementation timetable (subject to shareholder approval) • 14 Aug 2026 – Deadline for share transfers to qualify for voting • 20 Aug 2026 – Extraordinary General Meeting (EGM) at 11:00 a.m. in Central, Hong Kong • 24 Aug 2026 – Expected effective date of consolidation; trading in consolidated shares begins; free exchange of old share certificates starts • 07 Sep 2026 – Original counter re-opens with 5,000-share board lot; parallel trading and odd-lot matching services commence • 25 Sep 2026 – Odd-lot matching ends; temporary counter closes • 29 Sep 2026 – Last day for free exchange of share certificates

Next steps The proposals require shareholder approval at the 20 August 2026 EGM and listing approval from the HKEX. The Board states it has no current plans for additional corporate actions or fund-raising within the coming 12 months but reserves flexibility should suitable opportunities arise.
