Gemilang International Limited (the “Company,” together with its subsidiaries, the “Group”) announced on 16 February 2026 that it has commenced legal action against a former executive director, effective 11 February 2026. The individual, identified as Mr. Phang Sun Wah, allegedly breached restrictive covenants detailed in his letter of appointment and code of conduct, including prohibitions against conflicts of interest and engagement in competing businesses during his tenure with Gemilang Coachwork Sdn Bhd (GCSB).

According to the announcement, Mr. Phang and his daughter, Ms. Phang Huey Shyan, had previously served as executive directors before resigning on 11 January 2021 and 8 December 2020, respectively. The Company now seeks damages for losses attributed to the claimed breaches and maintains the right to pursue additional recovery from other former directors or employees if necessary.

The Group also formally declared that neither the Company nor any of its subsidiaries has any connection or collaboration—whether through shareholding, directorship, or employment—with Sun Wah Holdings Sdn. Bhd. or Sun Bus Tech Sdn Bhd. Additionally, the Company clarified that it is not associated with Mr. Phang, Ms. Phang, or any of their associates, reaffirming a complete separation of interests and business activities.
