有利集团有限公司（股票代码：00406，以下简称“有利集团”）于香港联合交易所发布公告，董事会已获授权在指定期间内回购最多相当于公司已发行股本10%的股份，并将于2026年8月17日（星期一）上午11时30分在香港召开股东周年大会审议有关授权。
有利集团公告显示，截至最后实际可行日（2026年7月9日），公司已发行股本总计438,053,600股。若相关议案获通过并在授权有效期内全面行使，公司预计最多可回购约43,805,360股（相当于占已发行股本10%的股份）。董事会认为，适时回购有助于提升股东回报及增强每股盈利，回购资金将来自符合百慕达法律及公司组织章程细则规定的合法来源。董事会表示，将在保证公司运营资金与资产负债结构稳定的前提下，谨慎行使回购授权。
公告同时列明，公司过去十二个月（自2025年7月至2026年7月）在联交所的股份交易价格最高为每股0.87港元、最低为每股0.455港元。董事会指出，截至目前，并未收到任何控股股东或关系人士出售公司股份的意向告知。若董事会在授权期间行使回购，同步也将保证维持公司股票在市场上的最低公众持股量要求。
有利集团拟于2026年8月17日举行股东周年大会，并将在2026年8月12日至8月17日（首尾两日包括在内）暂停办理股份过户登记，用于确定有资格出席大会并表决的股东资格。董事会建议公司股东投票支持该股份购回授权，认为此举符合公司及其股东的最佳利益。
