1. 阳光油砂（02012）8月31日公告称，由于需额外时间编制及纳入若干资料，原计划于2026年8月31日或之前寄发予股东的通函将顺延，预计新的寄发时间为2026年10月30日或之前。

2. 该通函拟载有以下内容：（I）向关连人士发行可换股债券以偿还债务的认购事项与特定授权详情；（II）独立董事委员会给予独立股东的建议；（III）独立财务顾问就上述事项向独立董事委员会发出的建议书；（IV）召开股东特别大会的通告。

3. 公司提示，相关交易的完成须待先决条件达成后方可作实，且完成可能会或可能不会进行。公司提醒股东及潜在投资者在买卖股份时应审慎行事。

4. 本次延期前，公司曾于2025年11月16日、2026年2月13日、2026年1月6日至2026年7月31日期间多次发布公告，涉及延长发行可换股债券最后完成日期及延迟寄发通函等事项。

5. 阳光油砂总部位于加拿大卡尔加里，于2012年3月1日在香港联交所上市。公司在阿萨巴斯卡油砂地区拥有约100万英亩的油砂及石油天然气租赁权益，并专注推进West Ells项目，初步生产目标为日均5,000桶原油。

6. 董事会现由执行董事孙国平、何沛恩，非执行董事Michael John Hibberd、蒋喜娟，以及独立非执行董事贺弋、邢广忠、庞珏组成。
