智通财经APP讯，顺诚(00531)与富山(香港)有限公司发布联合公告，兹提述(a)要约人与公司联合发布的日期为2024年10月5日的计划文件，内容有关(其中包括)(i)要约人建议根据开曼群岛公司法第86条以协议安排方式将公司私有化;及(ii)建议撤销公司上市地位的相关事宜。
该计划(未作出修订)于2024年10月25日(星期五)(开曼群岛时间)举行的法院聆讯中获大法院批准。大法院亦于同日在同一聆讯中确认该削减。
待余下条件于2024年11月5日(星期二)(开曼群岛时间)或之前获达成或豁免(如适用)后，计划预期将于2024年11月5日(星期二)(开曼群岛时间)或之前生效。计划生效后将另行刊发公告。
倘计划未能于2025年1月31日(星期五)(即最后截止日期)或公司与要约人可能协定或(如适用)大法院可能指示及(在所有情况下)获执行人员许可的其他日期或之前生效，则计划将告失效。要约人及公司将于需要时进一步刊发公告。
公司已根据上市规则第6.15(2)条向联交所申请并获联交所批准撤销股份在联交所的上市地位，自2024年11月7日(星期四)下午四时正起生效，惟须视乎计划生效而定。
