智通财经APP讯，上海复旦(01385)公布，2025 年 11 月 14 日，复芯凡高和国盛投资签署了《上海复芯凡高集成电路技术有限公司与上海国盛集团投资有限公司关于上海复旦微电子集团股份有限公司之股份转让框架协议》。国盛投资拟以协议转让方式受让复芯凡高持有的公司106,730,000 股A 股股份，占复旦微电股份总数的 12.99%。本次转让完成后，国盛投资将成为复旦微电第一大股东。复旦微电仍然为无控股股东、无实际控制人状态，不会对复旦微电的经营管理构成重大影响，不涉及要约收购。
2025 年 12 月 23 日，复芯凡高与国盛投资正式签署了《股份转让协议》。国盛投资拟以协议转让方式受让复芯凡高持有的公司106,730,000 股A股股份，占复旦微电股份总数的 12.99%。标的股份的转让价款确定为约51.44亿元，即 48.20 元/股。
