智通财经APP讯，慧聪集团(02280)公布，公司间接非全资附属公司北京兆信董事会已决议向北京兆信股东大会提交建议，申请其股份在全国中小企业股份转让系统终止挂牌。建议须待(其中包括)北京兆信股东批准及公司履行其于上市规则项下的责任后，方可作实。
就建议及作为其组成部分，北京兆信拟实施保护措施，透过回购兆信异议股东股份的方式保护北京兆信股份潜在异议持有人及若干其他持有人(兆信异议股东)。合资格回购的兆信异议股东须符合全国中小企业股份转让系统适用规则规定的条件及(如有)北京兆信就有关回购订立的其他条件。回购价格将根据兆信异议股东取得该部分股份的成本价格(不包括交易手续费、资金成本，但须就除权或除息事项作出调整)或北京兆信每股资产净值(以适用者为准)进行确定及确认。兆信异议股东的身份、具体回购价格及方式应于建议获北京兆信股东批准后，与兆信异议股东协商确定。
