智通财经APP讯，稀镁科技(00601)发布公告，于2026年8月21日(交易时段后)，本公司与配售代理订立配售协议，据此，本公司有条件同意透过配售代理按尽力基准，以配售价每股配售股份0.05港元(不包括承配人可能应付的联交所交易费、证监会交易征费、中央结算系统股份交收费及经纪佣金)向不少于6名承配人配售最多9600万股配售股份，而该等承配人及其最终实益拥有人须为独立第三方。

配售事项项下之配售股份最高数目占(i)本公司于本公布日期现有已发行股本5.93亿股股份的约16.20%;及(ii)经配发及发行配售股份扩大后的本公司已发行股本约13.94%(假设本公司已发行股份总数自本公布日期起至完成日期概无变动)。配售价为每股配售股份0.05港元，较股份于2026年8月21日于联交所所报的收市价每股0.062港元折让约19.35%。

假设全部9600万股配售股份获成功配售，配售事项的所得款项总额将为480万港元，而经扣除配售佣金及其他相关成本及开支后，配售事项的所得款项净额估计约为450万港元。按此基准，每股配售股份的净发行价将约为0.047港元。董事拟将配售事项所得款项净额的(i)50%用于支付核数及专业费用;(ii)所得款项净额的 30%用于支付员工成本;及(iii)其余20%则用于结算应付贸易账款及其他应付款项。
