烯石电车新材料（股票代码：06128，香港联合交易所上市）发布公告，董事会建议向股东申请一般授权，用于回购公司已发行股份总数（不计库存股份）最多10%。截至相关决议案通过当日，公司已发行及发行在外的股份约为941,313,336股，此次回购规模最高可达约94,131,333股。
公告显示，回购资金将从公司可动用的营运资金或内部资源中拨付，购回行为将符合开曼群岛适用法律及香港联合交易所《证券上市规则》等相关法规。董事会认为，该回购将有助于提升股东回报，并认为符合公司及其股东的整体最佳利益。
根据公告，公司股份在2025年4月至最后可行日期间，最高交易价格为每股0.425港元，最低交易价格为每股0.045港元。若经股东周年大会批准，此项股份购回授权将自通过之日起生效，有效期至下一届股东周年大会举行之日、或公司章程以及相关法律规定的期限届满日、或于股东大会上通过决议撤销该授权之日，以较早者为准。
此外，公司定于2026年6月29日下午2时30分在香港铜锣湾告士打道262号中粮大厦11楼举行股东周年大会，届时将审议并表决上述回购事项等议案。公司董事会强调，回购计划将遵守香港联合交易所相关的最低公众持股量要求，不会导致公司公众持股比例低于25%。
