Most Kwai Chung Limited has signed a fourth supplemental agreement with Maxa Asset Management to revise the terms of its ongoing share placement under the general mandate.

Key revisions • Placing price: Reduced from HK$3.45 to HK$3.30 per share, implying:  – 15.71% discount to the 21 September 2026 closing price of HK$3.915.  – 18.62% discount to the five-day average closing price of HK$4.055.  – 23.09% discount to the ten-day average closing price of HK$4.2905. • Long-stop date: Extended by 21 days to 19 October 2026. • Other terms, including the number of placing shares, remain unchanged.

Financial impact Assuming full placement at the revised price, the transaction is expected to raise gross proceeds of HK$178.20 million, with estimated net proceeds of approximately HK$176.07 million after fees and expenses. The estimated net placing price is HK$3.26 per share.

Management rationale The board stated that the placement will bolster liquidity, widen the shareholder base and optimise the capital structure to support the group’s sustainable development. Directors deem the amended terms fair and reasonable and in the interests of shareholders.

Next steps Completion is contingent on the satisfaction or waiver of remaining conditions precedent. If these conditions are not met by the new long-stop date, the placing agreement will lapse without liability for either party, save for any prior breaches.
