Mobvista Reports 6.50 Million Share Buy-Back in September, Confirms Adequate Public Float

Hong Kong-listed mobile advertising technology company Mobvista Inc. disclosed its Monthly Return for the period ended 30 September 2026, highlighting a sizeable on-market repurchase program that reduced outstanding shares while increasing treasury holdings.

Authorised Capital Stable • Authorised share capital stayed unchanged at 10.00 billion ordinary shares with a par value of USD 0.01 each, equivalent to USD 100.00 million.

Issued vs. Treasury Shares • Issued shares (excluding treasury) declined by 6.50 million during September to 1.70 billion. • Treasury shares rose by the same 6.50 million to 8.29 million, representing roughly 0.49% of total issued capital of 1.71 billion shares.

Repurchase Activity Drives Change • Thirteen on-market buy-backs between 1–28 September 2026 accounted for the entire monthly movement. • Purchase prices ranged from HKD 9.63 to HKD 12.62 per share, with a volume-weighted average of approximately HKD 10.49. • Aggregate cash outlay for the month’s repurchases was about HKD 68.22 million. • All repurchases were executed under the general mandate approved on 12 June 2026 and the repurchased shares are held in treasury.

Equity Incentive Schemes: No New Issues in September • The Employee Restricted Share Unit Scheme (mandate limit: 162.16 million new shares) and the Management RSU Scheme (maximum 58.20 million existing shares) recorded no new share grants, issuances or treasury transfers during September.

Public Float Compliance Affirmed • Mobvista confirmed that it continued to meet the Main Board’s minimum 25% public float requirement as at 30 September 2026.

Overall, the company’s capital structure adjustments in September were solely the result of its ongoing share repurchase programme, with no new share issuances or option exercises diluting existing shareholders.
