AK Medical Holdings Limited (AK Medical) has granted incentive packages to key personnel on 23 July 2026, aiming to strengthen retention and align employee interests with long-term corporate performance.
Share-Option Grant • Total options: 355,000, equal to 0.03 % of current share capital. • Recipients: five employees, including Executive Director Ms. Zhao Xiaohong (103,000 options). • Exercise price: HK$5.84 per share, 4.10 % above the 23 July closing price of HK$5.61. • Vesting: 50 % on 23 July 2027 and 50 % on 23 July 2028, contingent on company-wide and individual performance metrics covering revenue, net profit, receivables and inventory turnover. • Exercise window: 23 July 2026 to 22 July 2036. • Remaining pool under the 2017 Share Option Scheme: 93.19 million shares.
Restricted-Share (Awarded Shares) Grant • Total shares: 1.26 million, equal to 0.10 % of issued capital; market value HK$7.07 million based on the HK$5.61 closing price. • Recipients: 60 employees, including Ms. Zhao (79,000 shares). • Funding source: existing shares held by the scheme trustee; no issuance of new shares, hence no dilution. • Vesting: 50 % on 23 July 2027 and 50 % on 23 July 2028, subject to identical performance hurdles as the option grant. • Remaining pool under the 2020 Share Award Scheme: 108.34 million shares.
Both programmes include claw-back provisions whereby unvested entitlements lapse if employment terminates or performance thresholds are not met. According to the Board, the awards seek to acknowledge past contributions, incentivise future performance and enhance talent retention across the Group.
