JIANDE INT'L AGM: All Resolutions Secure 93.49% Support in Poll

Jiande International Holdings Limited (JIANDE INT'L) reported that every agenda item at its Annual General Meeting on 4 June 2026 was approved by shareholders through a poll, with identical voting outcomes across the board. Approximately 3.30 billion shares, or 93.49 % of votes cast, supported each of the six ordinary resolutions, while 0.23 billion shares, or 6.51 %, voted against.

Key resolutions passed include:

• Adoption of the audited consolidated financial statements for the year ended 31 December 2025. • Re-election of Executive Director Wu Zhisong and Independent Non-Executive Director Ma Sai Yam, along with authorisation for the Board to set directors’ remuneration. • Re-appointment of HLB Hodgson Impey Cheng Limited as external auditor, with the Board authorised to determine its fees. • Granting of general mandates to the Board to issue and repurchase shares, and an extension of the issuance mandate.

The meeting covered 5.84 billion issued shares eligible to vote, with no shareholdings subject to voting abstention requirements under Hong Kong Listing Rules. Tricor Investor Services Limited acted as scrutineer for the poll.

All six directors—Shie Tak Chung, Tsoi Kin Sze, Wu Zhisong, Ma Sai Yam, Yang Quan and Zhu Aiping—attended the meeting either in person or via telecommunication facilities.
