GR LIFE STYLE (00108) Subsidiary Provides Guarantee for Beijing Zhonghe Hongrun Technology's Loan

GR LIFE STYLE (00108) announced that on November 13, 2025, borrower Beijing Zhonghe Hongrun Technology Co., Ltd. entered into a loan agreement with Dalian Bank. The bank agreed to grant a one-year loan of RMB 130 million at an annual interest rate of 4.0%, effective from November 11, 2025.

As collateral for the loan, the Group was required to sign guarantee and mortgage contracts with Dalian Bank. On November 13, 2025, the company's indirect wholly-owned subsidiary, Beijing Wangangtong, executed these contracts, agreeing to assume joint liability for the borrower's repayment obligations and mortgage certain properties in favor of Dalian Bank to facilitate the loan.

In return, the borrower will pay Beijing Wangangtong an annual guarantee fee of 1% of the actual drawn amount under the loan agreement. Beijing Wangangtong owns the mortgaged properties, which form part of a building complex.

The borrower maintains an extensive network of upstream and downstream clients, enabling it to recommend high-quality tenants to the Group and enter into lease agreements. According to the borrower, the loan from Dalian Bank will support its daily operations and working capital needs, with the bank requiring collateral for the facility.

This arrangement extends the borrower's existing loan agreement with Dalian Bank dated November 7, 2024, maintaining the same purpose while effectively renewing the facility for another year to continue supporting its operational needs.

After considering prevailing market practices among Chinese financing companies, the Board deemed the 1% annual guarantee fee on drawn amounts to be fair, reasonable, and aligned with market rates. The guarantee fee will provide the Group with additional income, benefiting the company and its shareholders. This financial support is also expected to strengthen business ties and enable further collaboration with the borrower.

The mortgaged properties include Units 710-712, 801-812, 901-912, 1001-1012, 1101-1112, 1201-1203, Basement 101-102, Basement 201-209, and Basement 301-307 of the building complex, totaling approximately 12,000 square meters in gross floor area.
