Da Ming Int'l awards 1.95 million treasury shares to eight employees; upcoming director Ni Chen allotted 0.50 million

Da Ming International Holdings Limited (Da Ming Int'l) has granted 1.95 million existing shares, held in trust, to eight employees under the Da Ming Share Award Scheme adopted on 25 August 2011. The shares were awarded on 20 May 2026 at nil consideration and represent no new issuance.

Key allocation • Ni Chen, who will assume the role of executive director on 1 June 2026, received 0.50 million shares. • Seven other non-connected employees collectively received 1.45 million shares.

Valuation Based on the HK$0.79 closing price on the reference date, the total market value of the grant is approximately HK$1.54 million.

Vesting schedule and funding All awarded shares, already purchased on-market and held by the scheme trustee, are scheduled to vest on 29 May 2026, subject to the scheme rules. No cash outflow is required from the company for this grant, as it involves only previously repurchased shares.

Board composition Following the grant, the board comprises four executive directors (Chairman Zhou Keming, Xu Xia, Zou Xiaoping and Liang Zongren), two non-executive directors (Lu Jian and Lu Gang) and four independent non-executive directors (Cheuk Wa Pang, Hu Xuefa, Prof. Chen Xin and Wang Liuqi).
