超智能控股（01402.HK）公告称，公司拟向董事会授予股份购回授权，规模最高可达其已发行股本总数的10%。据公告披露，截至最后实际可行日期，公司总发行股份约为10.505亿股，如股东大会批准并全面行使该授权，公司最多可回购约1.05亿股股份。
公司称，本次购回所需资金将来自内部资源，符合香港联合交易所有限公司证券上市规则及开曼群岛相关法规。董事会认为，此举有助于提升股东回报，亦能为公司灵活调配资本结构创造条件。根据公告，股东大会计划于2026年8月7日举行。
在过去12个月中，公司股份于联交所的最高月度成交价约为每股0.340港元，最低约为0.145港元。董事会表示，本次授权若获通过，将在遵守上市规则最低公众持股量的前提下适时执行；同时提醒股东关注登记及过户时间安排，并以投票方式表决有关回购授权。股东可于股东大会召开前，向公司过户登记处办理相关手续。
