China Technology Industry Group Limited has released its 2026 annual general meeting (AGM) circular outlining proposals for fresh capital authorisations, board re-elections and auditor renewal. The meeting is scheduled for 28 September 2026 at 2:00 p.m. in Beijing.
The Board will ask shareholders to approve an Issue Mandate permitting the allotment and issuance of new shares—plus any sale of treasury shares—up to 20 % of the company’s issued share capital (excluding treasury shares) as at the AGM date. With 460.98 million shares outstanding on the Latest Practicable Date (1 September 2026), the mandate would authorise issuance of up to 92.20 million new shares.
A Repurchase Mandate will also be tabled, enabling on-market buybacks of up to 10 % of issued shares, equivalent to 46.10 million shares. An Extension Mandate would allow any shares repurchased to be added to the new-issue limit, providing additional capital management flexibility. The directors emphasise that neither issue nor buyback plans are currently in place but consider the authorities valuable for future opportunities.
Three executive directors—Huang Yuanming, Zhang Jinhua and Tse Man Kit Keith—will retire by rotation and offer themselves for re-election. Biographical details show backgrounds spanning renewable energy, finance and corporate governance.
The Board proposes re-appointing ZSZH (HK) Fuson CPA Limited as external auditor for the next fiscal year, with an expected audit fee of HK$0.89 million. The audit committee has endorsed the re-appointment, and the Board will seek shareholder approval.
Key administrative dates include a register-of-members closure from 23–28 September 2026, with 22 September set as the last day for share transfers to qualify for voting. Proxy forms must reach Computershare Hong Kong Investor Services by 2:00 p.m. on 26 September 2026. All resolutions will be decided by poll in accordance with GEM Listing Rules.
Treasury shares registered in the company’s name will carry no voting rights, and any treasury shares held in CCASS will abstain from voting. The circular reiterates that trading in the company’s shares has been suspended since 2 April 2026 and remains halted.
The Board recommends shareholders vote in favour of all proposed resolutions, citing benefits to capital flexibility, governance continuity and operational oversight.
