中化化肥（00297）7,055,000.01元磷矿浮选技改EPC合同构成关连交易

中化化肥控股有限公司（00297）10月12日公告称，其间接非全资附属公司中化重庆涪陵化工有限公司（“中化涪陵”）已与中蓝连海设计研究院有限公司（“中蓝连海”）及浙江拓海建设有限公司（“浙江拓海”）签订磷矿浮选技改项目EPC总承包合同，合同总价人民币7,055,000.01元，折合约705.50万元。合同涵盖施工图设计、设备及材料采购、工程施工、试车及竣工验收等内容，工期为180日历天。

合同金额中，包括设计费20.00万元、设备购置费327.63万元、建筑安装工程费352.63万元（其中安全文明施工费16.97万元）、技术服务费1.20万元及其他费用4.04万元。付款安排方面，预付款为合同金额的10%，其余款项将按设计进度、设备到场、施工进度、工程交付及缺陷责任期等节点分期支付。

中蓝连海为中化化肥最终控股股东中国中化控股有限责任公司之间接附属公司，属关连人士；浙江拓海则为独立第三方。根据香港联交所《上市规则》第14A章，该交易构成关连交易。由于适用百分比率均超0.1%但低于5%，故仅需履行公告义务，豁免独立股东批准。

公司表示，通过实施本次技改，可在浮选规模不变的前提下将尾矿P₂O₅品位降至5%以下，从而提高磷矿资源利用效率并强化项目整体效益。
