SH Group Reports No Share Capital Changes; Confirms Public Float Compliance for May 2026

SH Group (Holdings) Limited (HKEX: 01637) has filed its Monthly Return for the period ended 31 May 2026, showing a stable capital structure with no share movements during the month.

The company’s authorised share capital remained at 10.00 billion ordinary shares with a par value of HKD 0.01, equivalent to HKD 100.00 million.

Issued share capital was unchanged at 400.00 million ordinary shares, and the group held zero treasury shares, leaving the total issued share count steady at 400.00 million.

Management confirmed that SH Group continues to satisfy the Main Board’s minimum public-float threshold of 25%.

No share options were outstanding, granted or exercised in May. The existing share-option scheme, approved on 6 December 2016, still permits the future issue of up to 40.00 million shares.

The filing also states that the group has no outstanding warrants, convertible securities, or other arrangements that could lead to further share issuance.

The Monthly Return was submitted on 1 June 2026 by Executive Director Lau Man Ching.
