READBOY Clears All AGM Resolutions: Director Re-election, EY Re-appointment, 10% Buy-back and 20% Issuance Mandates Approved

Readboy Education Holding Company Limited (READBOY) secured shareholder approval for all six ordinary resolutions tabled at its Annual General Meeting held on 29 May 2026 in Hong Kong.

Of the company’s 352.00 million issued shares (HK$0.001 par value), 35.18 million unvested shares under the Share Award Scheme and 13.37 million unvested shares under the RSU Scheme were required to abstain from voting. The remaining share capital was fully represented, with Computershare Hong Kong Investor Services acting as scrutineer.

Voting outcomes were decisive: • Resolution 1 (2025 audited financial statements & reports) received 167.33 million votes in favour (100%). • Resolutions 2(a)–2(d) re-electing Mr Qin Shuguang, Ms Liu Zhilan, Mr Shen Jianfei, and approving the Board’s authority to fix directors’ remuneration passed with at least 99.98% support. • Resolution 3 confirmed Ernst & Young as auditors for another term with 100% approval (167.33 million votes). • Resolution 4 authorised a share repurchase mandate of up to 10% of issued shares, backed by 100% of votes cast. • Resolution 5 granted directors authority to issue, allot, or transfer up to 20% of issued shares, endorsed by 99.98% of votes. • Resolution 6 extended the issuance mandate to include shares repurchased under Resolution 4, also passing with 99.98% support.

No shares were required to abstain under Rule 13.40, and no shareholders indicated opposition. The Board was fully represented at the meeting, which was chaired by Chairman and CEO Mr Qin Shuguang.

Following the AGM, the Board composition remains: Executive Directors Mr Qin Shuguang and Ms Liu Zhilan; Non-Executive Directors Mr Chen Zhiyong and Mr Shen Jianfei; Independent Non-Executive Directors Ms Li Manfang, Ms Kong Fanhua and Prof Li Renfa.
