TIANJUDIHE Schedules 2025 AGM for 2 Nov 2026; Seeks HK$1.30–1.50 Million Audit Mandate for 2026

Tianju Dihe (Suzhou) Technology Co., Ltd. (TIANJUDIHE) issued a circular on 30 September 2026 convening its 2025 Annual General Meeting (AGM) for 2 November 2026 at 16/F, No. 9 Rongfu Street, Suzhou Industrial Park, Jiangsu Province. The AGM will start at 2:30 p.m. or immediately after the conclusion of the company’s rescheduled 2024 AGM, whichever is later.

Key agenda items: • Approval of the 2025 Board Report, Supervisory Committee Report, audited consolidated financial statements, and full annual report for the financial year ended 31 December 2025. • Re-appointment of HLB Hodgson Impey Cheng Limited as external auditor for the 2026 financial year. The proposed audit fee ranges from HK$1.30 million to HK$1.50 million, exclusive of out-of-pocket expenses. The Board will be authorised to finalise the fee and execute related agreements.

Shareholder logistics: • The register of members will close from 28 October 2026 to 2 November 2026, both days inclusive. Share transfers must be lodged by 4:30 p.m. on 27 October 2026 to qualify for attendance and voting. • All resolutions will be decided by poll, and no shareholder is required to abstain from any resolution.

Regulatory status: • Trading in TIANJUDIHE shares (HKEx: 02479) has been suspended since 1 April 2025. Under Listing Rule 6.01A(1), the company must satisfy all resumption conditions within the 18-month remedial period to avoid delisting. The circular explicitly notes that publication of the document does not imply the Stock Exchange’s endorsement of resumption or withdrawal of delisting powers.

Proxy forms must be submitted to Computershare Hong Kong Investor Services no later than 24 hours before the AGM. Completion of a proxy form does not preclude shareholders from voting in person.
