Zhongyuan Bank Co., Ltd. (1216) Announces 2025 Second Extraordinary General Meeting

Zhongyuan Bank Co., Ltd. (the Bank) will hold its 2025 second extraordinary general meeting (2025 Second EGM) on November 10, 2025, at 3:00 p.m. The meeting is scheduled to take place at Zhongyuan Bank Building, No. 9 Waihuan Road, Financial Island, Zhengdong New District, Zhengzhou, Henan Province, the PRC. Shareholders who hold domestic shares or H shares are entitled to vote either in person or by proxy.

Key agenda items for this 2025 Second EGM include proposed amendments to the Bank’s Articles of Association and consideration of implementation plans for acquiring Puyang Zhongyuan County Bank, Mengjin Minfeng County Bank, and Luanchuan Minfeng County Bank. Also under review are resolutions on authorizing the Bank’s chairman to handle matters related to the acquisitions and merger by absorption.

The meeting will further address the appointment of an executive director to the Bank’s third session of the Board of Directors, as well as consider dissolving the Bank’s Board of Supervisors and abolishing the related corporate governance system. Resolutions regarding amendments to the Rules of Procedures of both the Shareholders’ General Meeting and the Board’s Meeting of Zhongyuan Bank Co., Ltd. will also be put to a vote.

According to the announcement, completed proxy forms representing attending shares must be delivered to the Bank’s specified offices no less than 24 hours before the 2025 Second EGM. Shareholders who submit a valid proxy form retain the right to attend and vote in person. Any joint holders present in person or by proxy shall have their votes counted based on whose name appears first in the register of members.
