U-PRESID CHINA (00220) Unveils New Connected Transactions with Annual Caps up to RMB 9.80 Billion

U-PRESID CHINA (00220) announced four new framework agreements effective from 1 January 2027 to 31 December 2029. These agreements include the 2026 Framework Purchase Agreement, 2026 Framework Sales Agreement, 2026 Framework Technical Support Service Agreement, and 2026 Framework Logistics Service Agreement, all entered with its ultimate controlling shareholder’s group. Each sets forth proposed annual caps and specifies terms for purchases, sales, technical support, and logistics services.

Under the 2026 Framework Purchase Agreement, the annual caps on purchases of raw materials, packaging materials, and finished goods are RMB 8.50 billion, RMB 9.10 billion, and RMB 9.80 billion, respectively, for each of the three years ending 2029. This agreement, with applicable percentage ratios exceeding 5%, will require independent shareholders’ approval at an upcoming extraordinary general meeting (EGM).

The other three agreements are exempt from independent shareholders’ approval, with their annual caps staying between 0.10 billion and 0.58 billion for sales and technical support, and 0.60 billion to 0.70 billion for logistics. The company stated that securing long-term business continuity with its controlling shareholder’s group will help leverage industry experience, extend operational support, and foster stable growth. A circular detailing the 2026 Framework Purchase Agreement and the related EGM is expected to be dispatched around 20 May 2026.
