公司提示，本次股份回购将按照百慕达公司法和上市规则的相关规定，以可合法动用的资金进行。董事会认为，若在适当时机以公开市场回购股份，或有助提高每股盈利并增强股东价值。公告列明，过去十二个月公司股价最高为每股3.66港元、最低为每股1.58港元。董事会强调，只有在确保符合公司及股东整体最佳利益，并且财务状况许可的情况下，才会行使这项回购授权。
根据公告，授权若在股东周年大会获通过，将在大会结束后即时生效，并于下届股东周年大会之前或股东另行撤销授权前保持有效。公司亦同步安排于2026年4月30日暂停办理股份过户登记，用以确认末期股息派发；股东若有需要，应在指定时间前提交过户手续。公司呼吁股东于指定期限内完成登记并关注后续股东大会决议。
