Uni-President China Schedules 5 Jun 2026 EGM to Ratify 2026 Framework Purchase Agreement With Uni-President Enterprises

Uni-President China Holdings Ltd. has issued a proxy form convening an extraordinary general meeting (EGM) at 10:00 a.m. Hong Kong time on 5 June 2026, immediately after the company’s annual general meeting at the United Conference Centre, Admiralty, Hong Kong.

The sole ordinary resolution seeks shareholder approval to: 1) approve, ratify and confirm the framework purchase agreement signed on 4 March 2026 between Uni-President China and its connected person, Uni-President Enterprises Corporation; and 2) endorse the associated continuing connected transactions, including the proposed estimated maximum aggregate annual transaction values for the three financial years ending 31 December 2027, 31 December 2028 and 31 December 2029.

Shareholders may appoint the EGM chair or another proxy to vote on their behalf. Proxy forms, together with any relevant authority documents, must reach Computershare Hong Kong Investor Services Ltd. by 10:00 a.m. on 3 June 2026. Completion and return of the proxy form will not preclude shareholders from attending and voting in person, in which case the submitted proxy will be deemed revoked.
