ZHONGZI INTL H Delays FY-2026 Results; Board Meeting Deferred and Trading Suspension Expected

Zhongzi International Holdings Limited (ZHONGZI INTL H) disclosed on 31 July 2026 that it will not meet the 31 July deadline for publishing its audited results for the year ended 30 April 2026, as required under Rule 18.49 of the GEM Listing Rules.

The company attributed the delay to its auditor, HLB Hodgson Impey Cheng Limited, requiring additional time to obtain: 1. Outstanding confirmations from external counterparties; and 2. The Group’s 12-month working-capital forecast and related supporting documents.

Given these pending items, the board meeting originally scheduled for 31 July 2026 to approve the FY-2026 results and consider a final dividend has been postponed. Management targets releasing the audited annual results by the end of August 2026 and will announce a new board-meeting date in due course.

Non-publication within the prescribed timeframe constitutes a breach of the GEM Listing Rules. Under Rule 17.49A, the Stock Exchange is expected to suspend trading in the company’s shares from 9:00 a.m. on Monday, 3 August 2026, and maintain the suspension until the results are released.

The board stated that the Group’s operations remain normal and confirmed there is no other unpublished inside information at this time. Shareholders and potential investors are urged to exercise caution when dealing in the company’s securities.
